Terms of Service - PantryIQ (the “Application”)

Effective Date: May 4, 2025

IMPORTANT - READ CAREFULLY. By downloading, installing, or using the Application you agree to be bound by these Terms. If you do not agree, do not use the Application.

  1. Eligibility

    1. You must be at least 13 years old (or the age of digital consent in your jurisdiction) and able to form a binding contract.
    2. If you are under 18, a parent or legal guardian must accept these Terms on your behalf.

  2. License & Intellectual Property

    1. We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the Application for personal, non-commercial purposes.
    2. All trademarks, code, text, and content are owned by PantryIQ or its licensors and are protected by law. No rights are granted other than those expressly stated.

  3. User Content

    1. “User Content” means any data, text, images, or ingredient lists you submit. You grant PantryIQ a worldwide, royalty-free, perpetual license to host, use, reproduce, and display User Content solely to operate and improve the Application.
    2. You represent that you have all rights necessary to grant this license and that your User Content does not infringe any third-party rights or violate law.
    3. We reserve the right (but not the obligation) to remove User Content that we believe violates these Terms.

  4. Application Purpose & Professional-Advice Disclaimer

    1. The Application generates recipe suggestions automatically based on the ingredients you submit. It does not provide professional medical, nutritional, or food-safety advice. Consult a qualified professional for such advice.
    2. Cooking times, temperatures, and ingredient combinations are estimates only and may be incomplete or inaccurate.

  5. Food-Safety Warning & User Responsibilities

    You are solely responsible for:

    • verifying ingredient freshness, allergy safety, and edibility;
    • following all applicable food-safety guidelines (e.g., USDA, FDA);
    • cooking foods to safe internal temperatures using a thermometer;
    • using proper sanitation and hygiene practices.

  6. Allergies & Dietary Restrictions

    The Application does not consider individual allergies, medical conditions, or dietary needs. Always review ingredient lists and seek professional guidance if needed.

  7. Modifications & Future Fees

    1. We may modify these Terms or the Application at any time. Revised Terms take effect upon posting or notification inside the Application. Continued use constitutes acceptance.
    2. The Application is currently offered free of charge; however, PantryIQ reserves the right to introduce subscription fees or one-time payments in the future. If we do, we will provide reasonable advance notice and give you the opportunity to accept new terms or discontinue use.

  8. Termination

    We may suspend or terminate your access at any time, with or without notice, for any breach of these Terms or to protect our services.

  9. Warranty Disclaimer

    THE APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

  10. Limitation of Liability

    TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PANTRYIQ, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR OTHER DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, ILLNESS, PROPERTY DAMAGE, LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH (A) YOUR ACCESS TO OR USE OF THE APPLICATION OR ANY RECIPE, (B) ANY FOOD PREPARED OR CONSUMED BASED ON INFORMATION PROVIDED BY THE APPLICATION, OR (C) ANY ACT OR OMISSION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR SUCH DAMAGES WERE OTHERWISE FORESEEABLE. AS THIS IS A FREE APPLICATION, IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED U.S. $1.00.

  11. Indemnification

    You agree to indemnify and hold harmless PantryIQ, its affiliates, officers, and employees from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Application or violation of these Terms.

  12. Governing Law & Venue

    These Terms are governed by the laws of the State of Michigan without regard to conflict-of-laws rules. Any action or proceeding relating to these Terms or the Application must be brought exclusively in the Circuit Court for the County of Oakland, Michigan (or, if such court lacks subject-matter jurisdiction, another state court of competent jurisdiction within Oakland County). You and PantryIQ irrevocably consent to the personal jurisdiction and venue of those courts.

  13. Severability

    If any provision is found unenforceable, it shall be modified to reflect the intent of the parties, and the remaining provisions will remain in effect.

  14. Entire Agreement

    These Terms, together with our Privacy Policy, constitute the entire agreement between you and PantryIQ regarding the Application and supersede all prior agreements.
